  • Representation of company involved in manufacturing, distributing, selling and leasing industrial containers used to ship chemicals and other products in the sale of the business to the world’s largest manufacturer of industrial packaging. Transaction included asset acquisition issues, WARN Act compliance due to reductions in force, negotiations relating to early terminations of facility leases, negotiation of transition services agreements to sell client’s inventory over several months following the sale, transfer of various intellectual property rights, and resolving various vendor and customer contract issues.
  • Representation of manufacturer of operator protection systems for military, agricultural and other heavy duty vehicles in the negotiation and consummating of state and local economic development incentives for establishment of a new manufacturing facility in South Carolina, enabling investment in excess of $22 million in the area, as well as the creation of 240 new jobs.
  • Serving as primary outside legal counsel for tobacco manufacturer on a variety of corporate issues at both the federal and state level, including representing the client before the Alcohol and Tobacco Tax and Trade Bureau and advising client on Federal issues of taxation, labeling, packaging, and import/export.
  • Representation of intimate apparel and hosiery manufacturer in the negotiation of an exclusive license and distribution agreement for major expansion of a famous high fashion brand into a new international market.
  • Preparation of supplier agreements and advising on maintenance and modification of supplier relationships for manufacturers of several industrial products such as automobiles, valves and couplers for fuel distribution industry.
  • Counseling of clients regarding avoidance of class action wage-and-hour lawsuits; assisted manufacturers and third-party FMLA administrators in minimizing the risk of FMLA related litigation including policy development; advice and counseling about particular leaves of absence; and strategies on proper defenses that prevail in litigation.
  • Preparation of noncompete agreements for manufacturers acquiring management, counseled clients when disputes arose, and represented manufacturers in litigation involving such agreements.
  • Defense of manufacturers against wage-and-hour violations before state and federal agencies and in court under the Fair Labor Standards Act and state wage payment acts.
  • Defense of cases, in state and federal courts, involving claims for injuries or property damage arising from allegedly defective motor vehicles, tires, cruise control devices, and other components.
  • Representation of manufacturers in claims for injuries arising from the use of conveyor systems and airlocks, extrusion systems, dye casting equipment, box cutting equipment, water heaters, and from the allegedly negligent maintenance and installation of an elevator.
